Item 5.02, Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

 

On May 15, 2020, Mark S. Shefts was appointed to the board of directors of SCWorx, Corp., a Delaware corporation (the “Company”), and to each of the Compensation, Nominating and Audit Committees of the Board. The Board of Directors believes that Mr. Shefts meets the independence standard of Nasdaq Stock Market Rule 5605(a)(2).

 

In connection with his appointment, the Board of Directors awarded Mr. Shefts 100,000 Restricted Stock Units (RSUs) under the Company’s 2016 Equity Incentive Plan as compensation for services to be rendered as a director. The Company issued Mr. Shefts his RSU Agreement on May 21, 2020. These RSUs vest September 17, 2020.

 

Mr. Shefts, 62, will serve as a director and a member of our audit committee, compensation committee and nominating committee. Since 2004, Mr. Shefts has served as the Chief Executive Officer of The Rushcap Group, Inc., a privately held investment and consulting firm. Since 2005, Mr. Shefts has served as a Trustee of The Onyx & Breezy Foundation, a non-profit organization. Previously, Mr. Shefts was the Director, President and co-owner of All-Tech Investment Group Inc., from 1987 to 2001, and Domestic Securities, Inc., from 1993 to 2011, each an SEC-registered broker dealer. Mr. Shefts has previously owned seats on both the New York Stock Exchange and the Chicago Stock Exchange. Mr. Shefts has been an arbitrator for the American Arbitration Association and FINRA Dispute Resolution, Inc. with an area of specialization in the field of financial services. Mr. Shefts has held FINRA Series 7, 24 and 63 licenses and a Series 27 qualification as a Financial and Operations Principal. Mr. Shefts is also certified as Financial Services Auditor and a Certified Fraud Examiner. Mr. Shefts has been a Director, EVP & Chief Financial officer of Arbor Entech Corp. and Solar Products Sun-Tank, Inc., each a publicly traded company. Mr. Shefts holds a BS in accounting from Brooklyn College of The City University of New York. 

 

The Board of Directors believes that Mr. Shefts is qualified to serve as a director because of his substantial experience as an executive in the financial services industry and his experience as an officer and director of several private and public companies.
